Introduction and Acceptance<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms &amp; Conditions (\u201cTerms\u201d) govern your access to and use of <a href=\"https:\/\/stage.zyftly.com\/\">https:\/\/stage.zyftly.com<\/a>, including our online store, personalized gifts, custom products, bulk-order services, quotation services, and related features (collectively, the \u201cServices\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Services are operated by Zyftly LLC (\u201cZyftly,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By accessing our website, placing an order, submitting a request for quotation, or otherwise using our Services, you agree to these Terms and any additional terms expressly applicable to your transaction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you do not agree to these Terms, you should not use the applicable Services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you purchase products or submit an order on behalf of a company, organization, event, or other entity, you represent that you have authority to act on its behalf.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Additional terms may apply to particular products, promotions, quotations, or business orders. Products, Descriptions, and Availability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Zyftly offers gifts and other products that may be personalized using names, messages, photographs, logos, artwork, colors, designs, and other customization options.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We make reasonable efforts to display product descriptions, specifications, images, and prices accurately. Differences may occur due to screen settings, display technologies, materials, manufacturing methods, or the nature of personalized products.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Product images, digital mockups, and previews are illustrative unless expressly identified as exact representations of the final product.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We do not guarantee that every product, design, material, color, customization option, or quantity will always be available.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may update product descriptions, specifications, prices, and availability. Such updates will not retroactively change an accepted order unless agreed by the parties or permitted by applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If a material substitution becomes necessary after an order has been accepted, we will seek your agreement where appropriate or legally required.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. Orders and Acceptance<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Submitting an order through our website constitutes an offer to purchase the selected products.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An automated acknowledgment confirms receipt of your order but does not necessarily constitute acceptance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may review orders for payment authorization, product availability, customization feasibility, pricing accuracy, fraud prevention, and other legitimate operational requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may reject or cancel an order where reasonably justified, including where:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A product is unavailable or cannot be produced as requested.<\/li>\n\n\n\n<li>A material pricing or listing error has occurred.<\/li>\n\n\n\n<li>The requested customization is technically infeasible or unlawful.<\/li>\n\n\n\n<li>Payment authorization fails or a transaction appears fraudulent.<\/li>\n\n\n\n<li>Necessary information or approvals have not been provided.<\/li>\n\n\n\n<li>Fulfilling the order would violate applicable law or third-party rights.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If we cancel an order after payment, we will issue any refund required by applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We will communicate material order changes and seek your agreement where required.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Pricing, Taxes, and Payment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Prices are displayed in the currency identified on the relevant product or checkout page.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Applicable taxes, shipping charges, and other additional charges will be disclosed before you complete your purchase, as required by law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for paying the total amount presented at checkout.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Bulk and custom-order pricing may depend on quantity, materials, personalization, packaging, shipping destination, production complexity, and delivery requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to correct genuine pricing or calculation errors. If an error materially affects an order, we will contact you and provide appropriate options before proceeding with the affected transaction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Payments must be made using an accepted payment method. Payments may be processed by third-party payment providers, whose terms and security procedures may also apply.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Orders may be withheld from production until payment has been authorized or received, as applicable.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Personalized Products and Proof Approval<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Personalized products are produced according to customer-supplied information and specifications.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for reviewing the accuracy of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Names, spelling, dates, and messages.<\/li>\n\n\n\n<li>Photographs, logos, artwork, and uploaded files.<\/li>\n\n\n\n<li>Colors, fonts, layouts, and other design choices.<\/li>\n\n\n\n<li>Product quantities and customization specifications.<\/li>\n\n\n\n<li>Shipping details and requested deadlines.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Where we provide a proof, mockup, sample, or preview for approval, you must review it before authorizing production.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Your approval authorizes production according to the approved specifications. Once production has begun, changes may not be possible or may involve additional costs or delays.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If an error results from information supplied by you or from a design you approved, we may not be responsible for the cost of correcting that error, to the extent permitted by law and subject to the applicable order agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If an error results from our failure to follow accepted order specifications or an approved proof, contact us so we can investigate and determine an appropriate remedy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Proof approval does not waive your rights concerning manufacturing defects, damage, material nonconformity, or other rights that cannot lawfully be waived.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Customer-Supplied Content and Intellectual Property<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You may submit photographs, logos, artwork, text, designs, and other materials for use in personalized products (\u201cCustomer Content\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You retain ownership of your Customer Content, subject to the rights of other parties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By submitting Customer Content, you grant Zyftly and the service providers involved in fulfilling your order a limited, non-exclusive license to access, reproduce, adapt, transmit, and use the content as reasonably necessary to evaluate, design, manufacture, fulfill, and support your requested order.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This license is limited to the purposes described above and the period reasonably necessary to fulfill the order and handle related service, recordkeeping, or dispute-resolution needs, subject to applicable law and any separate agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You represent that:<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>You own the Customer Content or have the rights and permissions necessary to submit and use it for the requested purpose.<\/li>\n\n\n\n<li>Its authorized use will not unlawfully infringe intellectual-property, privacy, publicity, or other rights.<\/li>\n\n\n\n<li>You have authority to submit any corporate logos, photographs, artwork, or third-party materials.<\/li>\n\n\n\n<li>The content does not violate applicable law.<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">We may refuse, suspend, or cancel an order involving content that reasonably appears unlawful, infringing, or otherwise prohibited.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to cooperate reasonably in resolving claims arising from Customer Content you submitted without the necessary rights or permissions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in this section requires you to indemnify us for losses caused by our own unlawful conduct or otherwise imposes liability where prohibited by law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We do not claim ownership of Customer Content merely because you submit it. We will not use customer photographs, confidential corporate artwork, or personalized designs for unrelated public marketing without appropriate authorization or another lawful basis.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. Bulk Orders, Corporate Gifting, and Quotations<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Zyftly may provide quotations and customized arrangements for companies, retailers, event organizers, and other business customers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A request for quotation (\u201cRFQ\u201d) is an inquiry. Submitting an RFQ does not guarantee product availability, pricing, production capacity, or delivery by a requested date.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Unless expressly stated otherwise, each quotation is valid for <strong>15 calendar days from the date it is issued<\/strong>. If a quotation expressly specifies a different validity period, that stated period will apply.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Quotations may depend on:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Product availability and materials.<\/li>\n\n\n\n<li>Final quantities and specifications.<\/li>\n\n\n\n<li>Approved artwork and personalization.<\/li>\n\n\n\n<li>Shipping destination and delivery requirements.<\/li>\n\n\n\n<li>Production capacity and schedule.<\/li>\n\n\n\n<li>Any assumptions, exclusions, or additional charges stated in the quotation.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">A quotation becomes binding only when accepted through an order confirmation, purchase order acceptance, signed agreement, or other mutually agreed method.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Deposits and payment milestones for bulk orders are determined case by case<\/strong> and must be specified in the applicable quotation or written agreement. No universal deposit percentage is imposed by these Terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may require a deposit, milestone payment, sample approval, or production approval before commencing work if specified in the accepted quotation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Changes to an accepted bulk order may affect pricing, production scheduling, and delivery. We will communicate material changes and obtain agreement where required.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Unless expressly agreed in writing, quotations do not guarantee exclusivity, reserved inventory, or production capacity.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Shipping and Delivery<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We ship products to destinations and using shipping methods offered or agreed for the relevant order.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Estimated production and delivery dates are estimates unless expressly guaranteed in writing. Production time and carrier transit time are separate and may vary.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For personalized and bulk orders, the timeline may depend on complete specifications, payment, required approvals, production capacity, and shipping arrangements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for providing accurate shipping information and notifying us promptly of necessary corrections.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If we cannot ship an order within the promised timeframe, we will provide the notices, options, and refunds required by applicable law, including any legally required opportunity to consent to a delay or cancel the order.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Delivery may be affected by carrier operations and circumstances outside our direct control. We will make reasonable efforts to assist with shipping inquiries and delivery problems.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in these Terms eliminates obligations imposed by applicable law or transfers liability to you where the law assigns it to us.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10. Returns and Refunds<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Our return and refund procedures depend on the product, the reason for the request, the stage of production, and applicable law.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">10.1 Eligible non-custom products<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">For eligible non-custom products, you may request a return within <strong>14 calendar days after delivery<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To initiate a return, contact <a href=\"mailto:WeCare@zyftly.com\">WeCare@zyftly.com<\/a> within the applicable return window and provide your order number and the reason for the request. We will provide instructions concerning the next steps.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The 14-day period is the period for requesting a return; it does not, by itself, establish a guarantee that every product is eligible for a return.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Eligibility requirements, product-condition requirements, return-shipping arrangements, and any applicable exclusions must be communicated through the return policy or other applicable purchase terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Do not assume that a product is eligible for return solely because the request is made within 14 days.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">10.2 Personalized and customized products<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Products made or personalized according to your specifications may not be eligible for returns solely because you change your mind, choose the wrong option, or no longer want the item, to the extent permitted by law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This restriction does not eliminate your rights concerning defective, damaged, incorrect, or materially nonconforming products, or any other rights that cannot lawfully be excluded.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">10.3 Defective, damaged, incorrect, or nonconforming products<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">If you receive a product that appears damaged, defective, incorrect, or materially inconsistent with the accepted order, contact <a href=\"mailto:WeCare@zyftly.com\">WeCare@zyftly.com<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Please include your order number, a description of the issue, and photographs or other reasonable supporting information where available.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We will review the circumstances and determine an appropriate remedy under applicable law and the relevant order terms. Depending on the circumstances, the remedy may include correction, replacement, repair, refund, or another legally appropriate resolution.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Please contact us promptly to assist with investigation and coordination with relevant production or shipping providers. A request for prompt notice does not waive rights protected by law.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">10.4 Refund processing<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Approved refunds will generally be returned through the original payment method where reasonably possible and legally permitted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The time needed for a refund to appear in your account may depend on the payment processor and financial institution.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a refund is required by applicable law, we will process it within the legally required timeframe.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The detailed return procedure, including any product-condition requirements and return-shipping costs, must be stated in the applicable return policy or purchase terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">11. Cancellations<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You may request cancellation of an order within <strong>24 hours after placing the order<\/strong>, provided production has not started.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To request cancellation, email <a href=\"mailto:WeCare@zyftly.com\">WeCare@zyftly.com<\/a> with your order number and cancellation request.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A cancellation request does not guarantee cancellation until we confirm that the order can be stopped.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If production has already started, cancellation may no longer be available under this voluntary cancellation policy. For custom or bulk orders, work may include design, procurement, printing, personalization, or other production activities.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any cancellation charges or recovery of costs must be disclosed or otherwise lawfully recoverable under the applicable order terms and law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This policy does not limit cancellation, refund, or other rights that applicable law independently provides.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If an order is cancelled and payment has been collected, any refund will be handled in accordance with applicable law and the terms of the transaction.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. Product Warranties and Disclaimers<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We make reasonable efforts to provide accurate product descriptions and reliable Services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To the extent permitted by applicable law, our website and Services are provided on an \u201cas available\u201d basis. We do not guarantee uninterrupted access, error-free operation, or continuous product availability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Product-specific warranties, if any, will be stated in the applicable product description, warranty documentation, or separate written agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To the extent legally permitted, Zyftly disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in these Terms excludes, limits, or modifies a warranty, consumer right, or remedy that applicable law does not permit us to exclude, limit, or modify.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">13. Limitation of Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To the maximum extent permitted by applicable law, Zyftly will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to use of the Services or purchase of products, including qualifying losses of profits, revenue, business opportunities, or goodwill.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To the maximum extent permitted by applicable law, Zyftly&#8217;s aggregate liability arising from a particular order or transaction will not exceed the amount paid to Zyftly for the product or service giving rise to the claim.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These limitations apply only to the extent legally permitted. They do not limit liability that cannot lawfully be limited, including liability for fraud or other conduct where exclusion is prohibited.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in this section limits applicable consumer rights, remedies for nonconforming goods, or obligations that cannot lawfully be waived.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a separate written agreement provides a different liability arrangement for a corporate or bulk order, that agreement will control to the extent of the conflict and as permitted by law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">14. Indemnification<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To the extent permitted by applicable law, you agree to indemnify and hold harmless Zyftly LLC and its officers, employees, and authorized service providers against third-party claims, damages, and reasonable expenses arising directly from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your unlawful use of the Services.<\/li>\n\n\n\n<li>Your material violation of these Terms.<\/li>\n\n\n\n<li>Customer Content submitted without the rights or permissions required for its authorized use.<\/li>\n\n\n\n<li>Your infringement of a third party&#8217;s rights through materials or instructions you provide.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This obligation does not apply to the extent a claim results from Zyftly&#8217;s own infringement, unlawful conduct, breach of these Terms, negligence where indemnification is prohibited, or another circumstance for which you cannot lawfully be required to indemnify us.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We will provide reasonable notice of an indemnifiable claim and reasonable cooperation in its defense, subject to applicable law. No settlement may impose an admission of liability or non-monetary obligation on an indemnified party without that party&#8217;s consent.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">15.
